TERMS OF USE

Welcome to Brocali, an online educational platform designed to accelerate and enhance the learning experience of medical students, medical graduates, physicians, and healthcare professionals by providing access to educational courses, recorded lectures, question banks, flashcards, summaries, assessments, examination preparation programs, live courses, private tutoring, workshops, webinars, and other educational products and services (the "Platform"), operated by Brocali Ltd., an Israeli company bearing registration number 516243912, having its business address at 185 HaHistadrut Avenue, Haifa, Israel (the "Company", "Brocali", "We", "Us" or "Our").

The Platform is accessible through our website at www.brocali.co and may include additional websites, applications, educational systems, and communication channels operated or authorized by the Company.

The educational courses, subscription-based products, self-learning programs, live courses, private tutoring sessions, workshops, webinars, educational assessments, and other educational services offered by the Company shall collectively be referred to as the "Courses" or "Services". All educational videos, recorded lectures, articles, summaries, question banks, flashcards, examinations, assessments, presentations, syllabi, curricula, study guides, software, and other information or materials made available through the Platform, the Company, or any of its instructors, lecturers, tutors, or representatives (the "Trainers") shall collectively be referred to as the "Course Material".

The term "User" or "You" refers to any individual accessing, browsing, registering for, purchasing, subscribing to, or otherwise using the Platform and/or Services. Any User who enrolls in, purchases, subscribes to, or participates in any of the Services shall also be referred to as a "Student".

PLEASE READ THESE TERMS & CONDITIONS OF SERVICE (THE "TERMS") CAREFULLY BEFORE ACCESSING OR USING THE PLATFORM AND/OR SERVICES. BY CLICKING "I AGREE", CREATING AN ACCOUNT, PURCHASING OR SUBSCRIBING TO ANY SERVICE, OR OTHERWISE EXPRESSLY ACCEPTING THESE TERMS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THE FOLLOWING TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT REGISTER FOR OR USE THE SERVICES.

These Terms shall apply to all Services provided by the Company unless otherwise expressly agreed in writing. Where specific conditions apply to a particular Course or Service, such conditions shall be communicated to You before purchase and shall form an integral part of these Terms, subject to applicable law.

1. Eligibility, Registration and Student Accounts

1.1. The Platform and Services are intended for individuals who are at least eighteen (18) years of age and possess the legal capacity to enter into a binding agreement. By registering for or purchasing any Service, You represent and warrant that You satisfy these requirements, unless the Company has expressly authorized an alternative arrangement permitted by applicable law.

1.2. Certain Services are available only to Users who have registered for an individual student account (the "Account") and, where applicable, paid the relevant fees to the Company (the "Fees"). Upon successful registration and completion of any required payment arrangements, the Company shall provide You with access to the purchased Services through Your Account or through another authorized access method.

1.3. When registering for an Account or enrolling in a Course, You may be requested to provide certain personal and academic information, including Your full name, email address, telephone number, academic institution, academic background, and other information reasonably required for the provision of the Services. You undertake to provide true, accurate, complete, and current information. False, misleading, incomplete, or outdated information may prevent You from accessing certain Services.

1.4. The Company reserves the right to request additional information reasonably necessary to verify Your identity, academic eligibility, payment status, or entitlement to access the Services. Where You fail to provide information reasonably required for such verification, the Company may restrict or suspend access to the relevant Services, subject to applicable law.

1.5. Each Account is personal and intended for use by one Student only. You may not register multiple Accounts for the purpose of circumventing access restrictions, subscription limitations, promotional conditions, or other provisions of these Terms.

1.6. You must maintain Your username, password, and other Account credentials in strict confidentiality and refrain from disclosing them to any other person or entity. You are prohibited from transferring, selling, leasing, sharing, or otherwise making Your Account, Course access credentials, or links to Course sessions available to any third party without the Company's prior written consent.

1.7. The Company may employ reasonable technical and administrative measures to identify unauthorized Account sharing or misuse. Where the Company reasonably determines that an Account has been used in violation of these Terms, it may suspend or restrict access, request additional verification, or terminate the Account, subject to applicable law and the circumstances of the violation.

2. Courses, Services and Access Periods

2.1. The Company offers various educational products and Services, including subscription-based learning resources, self-learning courses, live instructor-led courses, private tutoring, workshops, webinars, assessments, and other educational programs. The content, duration, scope, and conditions of each Service shall be as specified in the relevant product description, enrollment confirmation, purchase agreement, or other written communication provided by the Company.

2.2. By purchasing or enrolling in a Service, You acknowledge that You are purchasing access to the specific educational product or program described at the time of enrollment. Unless expressly stated otherwise, the purchase of one Course or Service shall not entitle You to access any other Course, product, subscription, or Service offered by the Company.

2.3. Access to Course sessions and Course Material shall be granted for the period specified upon enrollment or purchase (the "Access Period"). Upon expiration of the Access Period, Your right to access the relevant Course and Course Material shall automatically terminate unless the Company expressly agrees otherwise or You purchase an applicable extension.

2.4. For the avoidance of doubt, the purchase of a Course, including a self-learning course or a fixed-term educational product, does not grant You permanent or lifetime access to the Course Material unless such access is expressly stated in writing by the Company.

2.5. You acknowledge that the completion of a Course, the viewing of all recorded lectures, the use of all available questions or assessments, and the achievement of any educational objectives are Your responsibility. Failure to complete or utilize the purchased Services during the applicable Access Period shall not, by itself, entitle You to an extension, replacement Service, or refund, except where otherwise agreed or required by applicable law.

2.6. The Company reserves the right to update, modify, replace, reorganize, or improve the Course Material from time to time, including for the purpose of maintaining academic accuracy, incorporating updated medical knowledge, correcting errors, or improving the learning experience. Such modifications shall not materially deprive You of the essential Services purchased, except where permitted by applicable law.

2.7. The Company may provide the Services in different languages, including Arabic, Hebrew, and English. The language of instruction applicable to each Course shall be as specified in the relevant Course description or enrollment confirmation.

3. Course Fees and Payment Conditions

3.1. The Fees applicable to each Course or Service shall be those displayed on the Platform or otherwise expressly communicated to You through an authorized sales representative, written quotation, electronic message, enrollment confirmation, or other authorized communication before purchase.

3.2. By confirming Your purchase or enrollment, You agree to pay the Fees applicable to the selected Service in accordance with the payment conditions disclosed to You at the time of purchase.

3.3. Payments may be made through the payment methods authorized by the Company, including credit cards, bank transfers, online payment providers, or other payment arrangements expressly approved by the Company.

3.4. Unless otherwise agreed, the applicable Fees must be paid in accordance with the payment schedule communicated upon enrollment. The Company may require payment in full before granting access to certain Services or may permit payment through installments.

3.5. Where payment in installments is approved, You undertake to pay each installment on its applicable due date. For the avoidance of doubt, an installment arrangement constitutes a method of paying the agreed purchase price and shall not, by itself, convert a fixed-term Course into a recurring subscription or entitle You to terminate Your payment obligations merely by discontinuing attendance or use of the Services.

3.6. Where any payment becomes overdue, the Company may notify You of the outstanding amount and request payment within a reasonable period. Subject to applicable law, the Company may temporarily suspend access to unpaid Services until the outstanding payment has been resolved.

3.7. Any additional charges, taxes, or fees applicable to a transaction shall be disclosed in accordance with applicable law. The Company shall issue invoices, receipts, and other transaction documentation as required by law.

3.8. The Company reserves the right to modify the prices of its Services from time to time. Such modifications shall not retroactively change the agreed purchase price of a completed transaction, except where expressly agreed or permitted by applicable law. Changes to the price of automatically renewing subscriptions shall be communicated and implemented in accordance with applicable legal requirements.

4. Subscription-Based Services and Automatic Renewal

4.1. Certain educational products offered by the Company may be provided on a recurring subscription basis, granting Students access to designated Course Material for a specified billing period.

4.2. Only products expressly identified at the time of purchase as a "Monthly Subscription" or "Yearly Subscription" shall be subject to automatic renewal. All other products, including self-learning courses, fixed-term access products, and one-time purchases, shall not automatically renew unless You separately agree to an expressly disclosed recurring payment arrangement.

4.3. Where You purchase a Monthly Subscription or Yearly Subscription, the subscription shall automatically renew at the end of each applicable billing period, and the applicable subscription Fee shall be charged through the payment method authorized by You, unless the subscription is canceled before the next scheduled renewal, subject to applicable law.

4.4. You may cancel an automatically renewing subscription at any time through the subscription management functionality available on the Platform, by contacting the Company through an authorized cancellation channel, or by using any other cancellation method required under applicable law.

4.5. Upon cancellation of automatic renewal, the Company shall discontinue future recurring charges in accordance with applicable law. Unless You request an earlier effective cancellation date or applicable law requires otherwise, You may continue accessing the subscribed Services until the expiration of the billing period already paid for.

4.6. The Company shall not impose an additional penalty solely for discontinuing automatic renewal. For the avoidance of doubt, cancellation of automatic renewal does not automatically create an entitlement to a refund of amounts already paid, except where such refund is required under applicable law or expressly agreed by the Company.

4.7. Where applicable law grants You the right to terminate an ongoing transaction before the end of a billing period, the Company shall comply with the applicable termination, billing, and refund requirements, notwithstanding any contrary provision contained herein.

4.8. Fixed-term educational products purchased for a predetermined Access Period shall expire automatically upon completion of that period and shall not renew unless the relevant product was expressly identified and accepted as an automatically renewing subscription.

5. Self-Learning Courses and Digital Educational Products

5.1. Self-learning courses consist primarily of pre-recorded lectures, educational videos, written materials, summaries, question banks, assessments, flashcards, and other digital educational resources made available to Students for independent study.

5.2. Unless expressly stated otherwise, self-learning courses are purchased through a one-time payment granting access to the relevant Course Material for the Access Period specified before purchase.

5.3. The Company does not offer a voluntary money-back guarantee or discretionary refund period for self-learning courses or other fixed-term digital educational products, unless expressly stated otherwise in a specific written promotional offer.

5.4. You acknowledge that access to self-learning courses may be activated shortly after completion of the purchase and that the relevant Course Material may become available for immediate use.

5.5. Notwithstanding the foregoing, nothing contained in these Terms shall exclude, restrict, or waive any mandatory cancellation, refund, or other consumer right available to You under applicable law. The legal treatment of digital educational content and Services shall be determined in accordance with the nature of the transaction and the applicable legal requirements.

5.6. Where the Company fails to provide the purchased Service or where the Service materially differs from its agreed description, You shall remain entitled to any remedy available under applicable law.

6. Live Courses and Instructor-Led Educational Programs

6.1. The Company may offer live educational Courses delivered online, in person, or through a combination of both methods. Such Courses may include live lectures, interactive sessions, academic workshops, assessments, mentoring, and supplementary Course Material.

6.2. The applicable Course duration, schedule, language of instruction, delivery method, location, number of sessions, and included educational resources shall be as specified upon enrollment.

6.3. Unless otherwise expressly stated, enrollment in a live Course shall require payment of a registration deposit equivalent to ten percent (10%) of the total Course Fees (the "Registration Deposit"). The Registration Deposit shall be credited toward the total Course price and shall not constitute an additional charge.

6.4. The remaining ninety percent (90%) of the Course Fees shall be payable no later than seven (7) calendar days before commencement of the Course, unless the Company expressly approves an alternative payment arrangement in writing. Where enrollment occurs fewer than seven (7) calendar days before commencement, the outstanding balance shall be payable upon enrollment unless otherwise agreed.

6.5. The Company shall make reasonable efforts to deliver the Course according to the schedule communicated upon enrollment. Notwithstanding the foregoing, the Company may make reasonable changes to the Course schedule, instructors, delivery arrangements, or location where necessary due to operational, academic, technical, or other legitimate circumstances.

6.6. The Company may replace a Trainer with another appropriately qualified Trainer where reasonably necessary, provided that such replacement does not materially diminish the educational Service purchased.

6.7. You are responsible for attending scheduled Course sessions and complying with the applicable participation requirements. Failure to attend any scheduled session shall not automatically entitle You to a replacement session, extension of the Course, or refund, except where otherwise agreed or required by applicable law.

6.8. Where recorded lectures or session recordings are included in the Course, access to such recordings shall be subject to the conditions and Access Period specified upon enrollment. The Company does not guarantee that every live session will be recorded unless expressly stated otherwise.

6.9. Subject to mandatory statutory cancellation rights, the following voluntary cancellation conditions shall apply where You request cancellation of Your enrollment for reasons unrelated to a breach by the Company:

(a) Where cancellation is received at least fourteen (14) calendar days before the scheduled commencement date, You shall be entitled to a full refund of amounts paid.

(b) Where cancellation is received between seven (7) and thirteen (13) calendar days before the scheduled commencement date, the Company may retain an amount equivalent to ten percent (10%) of the total Course Fees as a registration and administrative charge, provided that such deduction is lawful and was disclosed before purchase.

(c) Where cancellation is received fewer than seven (7) calendar days before the scheduled commencement date, the Company shall not be obligated to provide a voluntary refund, except where otherwise agreed or required by applicable law.

(d) Following commencement of the Course, voluntary refunds shall not ordinarily be available. Notwithstanding the foregoing, the Company shall honor any applicable statutory cancellation rights and remedies relating to Services not provided or contractual breaches.

6.10. For the avoidance of doubt, the Registration Deposit shall not be considered unconditionally non-refundable. Any retention of the Registration Deposit or deduction of cancellation charges shall be subject to applicable consumer protection laws and any statutory limitations on cancellation fees.

6.11. Where the Company cancels a Course and does not provide an alternative arrangement accepted by You, the Company shall refund the amounts attributable to the canceled Service in accordance with applicable law.

6.12. Where the Company materially changes the commencement date, delivery method, or essential components of a live Course, You shall remain entitled to any applicable contractual or statutory remedy.

7. Private Tutoring Services

7.1. The Company may offer private tutoring Services through individual sessions or prepaid packages consisting of a specified number of sessions.

7.2. The applicable tutoring Fees, number of sessions, session duration, scheduling arrangements, and other material conditions shall be communicated to You before purchase.

7.3. Tutoring sessions shall be scheduled by mutual arrangement between You and the Company or the designated Trainer, subject to availability.

7.4. You may request to reschedule a tutoring session without an additional charge by providing at least twenty-four (24) hours' advance notice.

7.5. Where You cancel or request to reschedule a tutoring session fewer than twenty-four (24) hours before its scheduled commencement, the Company may charge for the reserved session, provided that such condition was clearly disclosed before purchase and is enforceable under applicable law.

7.6. Where You fail to attend a scheduled tutoring session without providing the required notice, the session may be treated as delivered for billing purposes, subject to applicable law and the circumstances of the case.

7.7. Where the Company or the designated Trainer cancels a scheduled tutoring session, the Company shall offer a replacement session at no additional charge. Where an appropriate replacement cannot be provided, the Company shall refund the amount attributable to the undelivered session in accordance with applicable law.

7.8. Where tutoring sessions are purchased as part of a prepaid package, You may request cancellation of unused sessions. Any applicable refund shall be calculated by deducting the value of sessions already delivered and any other deductions expressly disclosed before purchase and permitted under applicable law.

7.9. Where a tutoring package was purchased at a discounted rate, any adjustment relating to completed sessions shall be calculated according to the package conditions disclosed before purchase and shall not exceed amounts lawfully recoverable by the Company.

7.10. Nothing contained in this Section shall exclude or restrict any mandatory cancellation or refund rights available to You under applicable law.

8. Workshops, Masterclasses and Educational Events

8.1. The Company may organize workshops, masterclasses, webinars, and other educational events delivered online or in person.

8.2. Registration for such events shall be subject to the applicable participation Fees, eligibility requirements, event schedule, location, and other conditions disclosed before purchase.

8.3. Subject to mandatory statutory rights, where You cancel Your registration at least fourteen (14) calendar days before the scheduled event, You shall receive a full refund of the amounts paid.

8.4. Where cancellation occurs between seven (7) and thirteen (13) calendar days before the scheduled event, the Company may deduct a disclosed administrative charge not exceeding ten percent (10%) of the participation Fee, to the extent legally permitted.

8.5. Where cancellation occurs fewer than seven (7) calendar days before the scheduled event, the Company shall not be obligated to provide a voluntary refund, except where otherwise agreed or required by applicable law.

8.6. Subject to eligibility requirements, available capacity, and the Company's prior written approval, You may request to transfer Your registration to another eligible participant before commencement of the event.

8.7. Where the Company cancels an event and no alternative arrangement is accepted by You, the Company shall refund the applicable participation Fee in accordance with applicable law.

9. Cancellation Requests and Refund Procedures

9.1. Cancellation requests may be submitted through the cancellation functionality available on the Platform, by email to contact@brocali.co, or through any other cancellation method that the Company is required to provide under applicable law.

9.2. The Company may request information reasonably necessary to identify You and the relevant transaction, subject to applicable law.

9.3. The effective date of cancellation shall be determined according to the nature of the transaction, Your request, and the requirements of applicable law.

9.4. Where a refund is approved or legally required, the Company shall process such refund through the original payment method or another lawful and mutually agreed method, within the period prescribed by applicable law.

9.5. For the avoidance of doubt, the cancellation conditions set forth in these Terms shall not exclude, restrict, or diminish any mandatory consumer rights under applicable law, including rights arising under the Israeli Consumer Protection Law, 5741-1981, where applicable.

9.6. Where the Company publishes a separate Refund and Cancellation Policy, such policy shall supplement these Terms. In the event of any inconsistency, mandatory applicable law shall prevail, and the applicable contractual provisions shall be interpreted consistently with the rights afforded to the User.

10. Intellectual Property Rights

10.1. The Platform, the Courses, the Services, and all Course Material are proprietary products of the Company or its respective licensors and are protected under applicable copyright laws, trademark laws, trade secret laws, and other intellectual property laws.

10.2. All rights, title, and interest, including copyrights, trademarks, trade names, trade secrets, database rights, and other intellectual property rights, and any goodwill associated therewith, in and to the Platform, the Courses, and the Course Material, including, without limitation, educational videos, recorded lectures, question banks, flashcards, summaries, assessments, examinations, articles, audio files, presentations, graphic designs, layouts, user interfaces, software, and all derivatives, improvements, and variations thereof, are and shall remain at all times exclusively owned by or licensed to the Company.

10.3. Subject to Your compliance with these Terms and payment of the applicable Fees, the Company grants You a limited, personal, revocable, non-exclusive, non-sublicensable, non-transferable right to access and use the purchased Services and Course Material solely for Your individual educational purposes during the applicable Access Period.

10.4. Other than the limited rights expressly granted herein, no right, title, interest, or license in or to the Platform, the Courses, or the Course Material is granted, sold, transferred, assigned, or otherwise made available to You.

10.5. You may not modify, copy, reproduce, distribute, transmit, display, perform, record, download, publish, license, transfer, create derivative works from, sell, resell, or otherwise commercially exploit any Course Material or information obtained through the Platform, except as expressly authorized in writing by the Company or permitted by applicable law.

10.6. You are strictly prohibited from sharing, publishing, distributing, selling, or otherwise making available to any third party any question bank, assessment, examination, flashcard collection, educational summary, recorded lecture, or other Course Material without the Company's prior written consent.

10.7. You may not use automated systems, software, scripts, scraping tools, or other technologies to extract, reproduce, or systematically collect Course Material or information from the Platform without authorization.

10.8. You may not use the Course Material to establish, develop, operate, or support a competing commercial educational product or service without the Company's prior written consent.

10.9. The Company reserves the right to investigate suspected violations of its intellectual property rights and to pursue any remedies available under applicable law, including suspension or termination of access and legal proceedings where appropriate.

10.10. Where a Course includes the issuance of a certificate of participation or completion, such certificate shall be issued only in accordance with the eligibility and completion requirements expressly communicated by the Company. Unless expressly stated otherwise, certificates issued by the Company shall not constitute an academic degree, professional license, governmental accreditation, or authorization to practice medicine.

11. Student Conduct and Acceptable Use

11.1. You undertake to use the Platform and Services lawfully, responsibly, and in accordance with these Terms and all applicable laws and regulations.

11.2. You are solely responsible for Your conduct while accessing or using the Platform and participating in the Courses, including Your communications with other Students, Trainers, employees, and representatives of the Company.

11.3. You shall not engage in any unlawful, fraudulent, abusive, threatening, harassing, discriminatory, or otherwise inappropriate conduct in connection with the Services.

11.4. You shall not interfere with the operation of the Platform, attempt to gain unauthorized access to any Account or system, circumvent technical restrictions, introduce malicious software, or otherwise compromise the security or functionality of the Services.

11.5. You shall not cheat, plagiarize, impersonate another Student, or engage in academic dishonesty in connection with any assessment, examination, assignment, or other educational activity provided by the Company.

11.6. You shall not record, reproduce, publish, or distribute live Course sessions or communications involving other participants without the authorization required by the Company and applicable law.

11.7. The Company reserves the right to establish reasonable rules governing attendance, participation, academic integrity, and communication during Courses and educational events.

11.8. Where You materially violate these Terms or engage in serious misconduct, the Company may take reasonable and proportionate measures, including issuing warnings, restricting participation, suspending access, or terminating enrollment, subject to applicable law.

12. Course Sessions, Recordings and Third-Party Platforms

12.1. Certain Courses and Services may be delivered through third-party video-conferencing platforms, including Zoom or similar technologies.

12.2. You acknowledge that participation in live sessions may require access to compatible devices, software, internet connectivity, and other technical resources, which shall ordinarily be Your responsibility unless expressly stated otherwise.

12.3. During live sessions, Your display name, profile image, video, audio, chat messages, and other information voluntarily shared by You may be visible or accessible to the Trainer, authorized representatives of the Company, and other participants, depending on the relevant platform settings.

12.4. The Company may record certain educational sessions for academic, educational, quality assurance, or other disclosed purposes, subject to applicable law and any required notice or consent.

12.5. Where recordings are made available to Students, such recordings shall constitute Course Material and shall remain subject to the intellectual property and access restrictions set forth in these Terms.

12.6. You acknowledge that third-party platforms may be subject to separate terms of use and privacy policies. The Company shall not be responsible for the independent acts or omissions of such providers except to the extent responsibility is imposed upon the Company under applicable law.

13. Educational and Medical Disclaimer

13.1. The Platform, Courses, Services, and Course Material are provided solely for educational and informational purposes and are intended to assist Students in acquiring knowledge, preparing for examinations, and improving their academic and professional understanding.

13.2. No part of the Platform, Courses, or Course Material shall be deemed to constitute individualized medical advice, diagnosis, treatment, or a substitute for professional medical judgment.

13.3. The Company does not guarantee that participation in any Course or use of any Course Material will result in a particular examination score, passing grade, academic achievement, admission decision, professional qualification, or licensing outcome.

13.4. You acknowledge that educational outcomes depend upon numerous factors beyond the Company's control, including Your academic background, prior knowledge, preparation, participation, study methods, and individual performance.

13.5. Unless expressly stated otherwise, the Company is an independent educational service provider and is not affiliated with, endorsed by, or officially authorized by any examination authority, university, licensing body, or governmental institution.

13.6. References to examinations, educational institutions, professional qualifications, or licensing processes are made solely for the purpose of identifying the educational subjects and objectives of the relevant Services.

13.7. Although the Company makes reasonable efforts to maintain the accuracy and relevance of its Course Material, medical knowledge, examination requirements, clinical guidelines, and professional standards may change over time. You are responsible for verifying current professional and examination requirements where appropriate.

14. Availability of the Platform and Services

14.1. The Company shall make commercially reasonable efforts to maintain the operation, functionality, and availability of the Platform and Services.

14.2. Notwithstanding the foregoing, You acknowledge that the Services may rely upon third-party networks, infrastructure, software, communication systems, hosting providers, and video-conferencing platforms. Accordingly, the Company does not guarantee that the Platform or Services will operate without interruption or technical errors.

14.3. Temporary interruptions, malfunctions, or failures may occur due to maintenance, software updates, internet connectivity issues, hardware failures, security incidents, or other circumstances beyond the Company's reasonable control.

14.4. The Company may perform maintenance, updates, technical modifications, or other changes reasonably necessary for the continued operation, security, and improvement of the Platform.

14.5. Where a material interruption or failure prevents the Company from providing a purchased Service, the Company shall provide any remedy required under applicable law.

14.6. The Company may discontinue or materially modify a Service where reasonably necessary, provided that such discontinuation or modification does not unlawfully deprive Students of the Services purchased or their applicable contractual or statutory remedies.

15. Suspension and Termination of Services

15.1. The Company may suspend, restrict, or terminate Your access to the Platform or any Service where You:

(a) Fail to pay the applicable Fees when due;

(b) Share, transfer, or otherwise misuse Your Account or Course access credentials;

(c) Engage in aggressive, offensive, threatening, discriminatory, or harassing conduct toward another Student, Trainer, employee, or representative of the Company;

(d) Cheat, plagiarize, or otherwise engage in academic dishonesty;

(e) Copy, distribute, publish, or commercially exploit Course Material without authorization;

(f) Attempt to compromise the security or functionality of the Platform;

(g) Engage in fraudulent or unlawful activity; or

(h) Otherwise materially breach these Terms.

15.2. Any suspension or termination shall be proportionate to the circumstances and subject to applicable law, including any requirement to provide notice or an opportunity to remedy the relevant breach.

15.3. Upon lawful termination or expiration of Your access, the limited license granted to You under these Terms shall immediately cease, and You shall discontinue accessing or using the relevant Services and Course Material.

15.4. Termination of access shall not automatically release You from payment obligations lawfully accrued before termination, nor shall it automatically entitle You to a refund, except where otherwise agreed or required by applicable law.

15.5. The provisions concerning intellectual property rights, accrued payment obligations, liability, indemnification, governing law, and any other provisions intended by their nature to survive termination shall remain effective to the extent permitted by applicable law.

16. Limitation of Liability and Indemnification

16.1. The Company shall make reasonable efforts to provide the Services in accordance with their applicable descriptions and contractual conditions. Notwithstanding the foregoing, the Company does not guarantee that the Services will satisfy every individual educational objective or produce any particular academic or professional result.

16.2. To the maximum extent permitted by applicable law, the Company shall not be liable for losses arising solely from circumstances beyond its reasonable control, including interruptions caused by independent internet service providers, failures of User equipment, or unauthorized actions undertaken by third parties, except to the extent the Company is legally responsible for such losses.

16.3. The Company shall not be liable merely because You fail to achieve a desired examination result, academic outcome, or professional qualification, provided that the Company has fulfilled its applicable contractual and legal obligations.

16.4. To the extent permitted by applicable law, You shall be responsible for losses, damages, liabilities, and reasonable expenses directly arising from Your unlawful conduct, intentional infringement of intellectual property rights, fraudulent activities, or material breach of these Terms.

16.5. You agree to indemnify and hold the Company harmless against claims and losses legally recoverable from You arising directly from such conduct, provided that such obligation shall not apply to losses caused by the Company's own unlawful conduct or breach of its legal obligations.

16.6. Nothing contained herein shall exclude or restrict liability for fraud, willful misconduct, or any other liability that cannot lawfully be excluded or limited, nor shall it diminish any mandatory consumer rights available to You under applicable law.

17. Privacy and Personal Information

17.1. When You register for an Account, purchase a Service, or otherwise use the Platform, the Company may collect and process certain personal information concerning You.

17.2. The collection, processing, use, retention, and disclosure of such information shall be governed by the Company's Privacy Policy and applicable privacy and data protection laws.

17.3. The Privacy Policy describes the categories of information collected, the purposes of processing, the circumstances under which information may be disclosed, and the rights available to Users.

17.4. Where applicable law requires Your consent for a particular processing activity, such consent shall be obtained separately and shall not be deemed to have been granted merely by accepting these Terms.

18. Changes to the Terms and Services

18.1. The Company reserves the right to amend, modify, or update these Terms from time to time, including in order to reflect changes in applicable law, regulatory requirements, business operations, Platform functionality, or the Services.

18.2. Any updated version of these Terms shall be published on the Platform and shall indicate the date of its most recent revision.

18.3. Where a material amendment affects existing contractual rights or obligations, the Company shall provide appropriate notice and obtain consent where required by applicable law.

18.4. For the avoidance of doubt, amendments to these Terms shall not retroactively deprive You of accrued rights or alter completed purchases in a manner prohibited by applicable law.

19. General Provisions

19.1. These Terms, together with the Privacy Policy, the Refund and Cancellation Policy, and any applicable product-specific conditions expressly agreed upon by You, constitute the entire agreement between You and the Company concerning the Platform and Services and supersede any prior understandings or agreements relating to the same subject matter, except where otherwise expressly agreed in writing.

19.2. These Terms shall be governed by and construed in accordance with the laws of the State of Israel, excluding any otherwise applicable rules concerning conflicts of law.

19.3. Any dispute arising out of or in connection with these Terms, the Platform, or the Services shall be subject to the jurisdiction of the competent courts of the State of Israel, without prejudice to any mandatory jurisdictional or consumer protection rights available to You under applicable law.

19.4. If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, such provision shall be severed or interpreted to the extent necessary, and the remaining provisions shall continue in full force and effect.

19.5. Failure of the Company to enforce any provision of these Terms or to exercise any right available hereunder shall not constitute a waiver of such provision or right, nor shall it affect the Company's ability to enforce the same subsequently.

19.6. You may not assign, transfer, or otherwise dispose of Your rights or obligations under these Terms without the Company's prior written consent. Any purported assignment made without such consent shall be ineffective to the extent permitted by applicable law.

19.7. The Company may assign its rights and obligations under these Terms in connection with a lawful merger, acquisition, restructuring, or transfer of business assets, provided that such assignment does not unlawfully prejudice Your rights.

19.8. The Company shall not be responsible for delays or failures in performance directly caused by circumstances beyond its reasonable control, including natural disasters, war, civil disturbances, governmental restrictions, or widespread telecommunications failures. The Company shall make reasonable efforts to mitigate such circumstances and shall remain subject to any mandatory legal obligations concerning Services not provided.

19.9. Section headings are included solely for convenience and shall not affect the interpretation of these Terms.

19.10. These Terms may be made available in additional languages. Any provision concerning the interpretation or precedence of different language versions shall be subject to applicable law and shall not override mandatory consumer protections.

19.11. Where permitted by applicable law, notices and communications relating to the Services may be delivered electronically through the Platform, email, or other communication channels designated by the Company.
