REFUND AND CANCELLATION POLICY

This Refund & Cancellation Policy (the "Policy") governs the cancellation of purchases, subscriptions, course enrollments, and other educational services provided by Brocali Ltd., an Israeli company bearing registration number 516243912, having its business address at 185 HaHistadrut Avenue, Haifa, Israel (the "Company", "Brocali", "We", "Us" or "Our").

The Company operates an online educational platform accessible through www.brocali.co (the "Platform"), offering educational products and services, including, without limitation, subscription-based question banks, flashcards, recorded lectures, summaries, assessments, practice examinations, self-learning courses, live instructor-led courses, private tutoring sessions, workshops, masterclasses, webinars, and other educational services (collectively, the "Services").

The term "User" or "You" refers to any individual who purchases, subscribes to, enrolls in, or otherwise uses the Services. Any User who purchases or participates in an educational product or program offered by the Company may also be referred to as a "Student".

This Policy constitutes an integral part of the Company's Terms & Conditions of Service and shall be read in conjunction therewith.

PLEASE READ THIS POLICY CAREFULLY BEFORE PURCHASING OR ENROLLING IN ANY SERVICE. BY COMPLETING A PURCHASE OR ENROLLMENT AND EXPRESSLY ACCEPTING THE APPLICABLE TERMS, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THE CANCELLATION AND REFUND CONDITIONS SET FORTH HEREIN.

For the avoidance of doubt, nothing contained in this Policy shall exclude, restrict, or waive any mandatory cancellation, refund, or other consumer right available to You under applicable law, including the Israeli Consumer Protection Law, 5741-1981, where applicable.

1. General Cancellation and Refund Conditions

1.1. The cancellation and refund conditions applicable to each Service shall be determined according to the nature of the purchased product, the applicable purchase conditions, the date on which the cancellation request is received, and the requirements of applicable law.

1.2. The Company offers different categories of educational Services, including recurring subscriptions, fixed-term digital educational products, self-learning courses, live instructor-led courses, private tutoring, workshops, and masterclasses. Accordingly, the applicable cancellation and refund conditions may vary between such Services.

1.3. By purchasing or enrolling in a Service, You acknowledge that You are purchasing access to the specific educational product or program described at the time of purchase, for the period and under the conditions communicated to You.

1.4. Unless expressly stated otherwise, the Company's voluntary cancellation and refund arrangements shall be limited to those specifically provided under this Policy or the relevant product conditions.

1.5. For the avoidance of doubt, any provision stating that a Service is non-refundable, or that no voluntary refund is available, shall apply only to the extent permitted by applicable law and shall not prevent You from exercising mandatory statutory cancellation rights.

1.6. Where applicable law grants You more favorable cancellation or refund rights than those expressly provided under this Policy, the applicable legal requirements shall prevail.

2. Monthly and Yearly Subscriptions

2.1. Certain educational products offered by the Company may be provided on a recurring subscription basis, granting Students access to designated educational resources for a specified billing period.

2.2. Only products expressly identified at the time of purchase as a "Monthly Subscription" or "Yearly Subscription" shall be subject to automatic renewal. All other educational products, including fixed-term access products and one-time purchases, shall not automatically renew unless You separately agree to an expressly disclosed recurring payment arrangement.

2.3. Where You purchase a Monthly Subscription or Yearly Subscription, the subscription shall automatically renew at the end of each applicable billing period unless canceled before the next scheduled renewal, subject to applicable law.

2.4. You may cancel an automatically renewing subscription at any time through the subscription management functionality available on the Platform, by contacting the Company through an authorized cancellation channel, or by using any other cancellation method required under applicable law.

2.5. Upon cancellation of automatic renewal, the Company shall discontinue future recurring charges in accordance with applicable law.

2.6. Unless You request an earlier effective cancellation date or applicable law requires otherwise, cancellation of automatic renewal shall ordinarily allow You to continue accessing the subscribed Services until the expiration of the billing period already paid for.

2.7. The Company shall not impose an additional penalty solely for discontinuing automatic renewal of a Monthly Subscription or Yearly Subscription.

2.8. Cancellation of automatic renewal shall not, by itself, create an entitlement to a refund of amounts already paid, except where such refund is required under applicable law or expressly agreed by the Company.

2.9. Where applicable law grants You the right to terminate an ongoing transaction before the expiration of a paid billing period, the Company shall comply with the applicable termination, billing, and refund requirements, notwithstanding any contrary provision contained herein.

2.10. Where a subscription is canceled, the Company shall not initiate further renewal charges after the legally applicable termination date.

3. Fixed-Term Digital Educational Products

3.1. The Company may offer digital educational products granting access to designated educational resources for a fixed period, including, without limitation, question banks, flashcards, recorded lectures, summaries, assessments, and practice examinations.

3.2. Such products may be purchased through a one-time payment and shall provide access for the period specified in the relevant product description or purchase confirmation (the "Access Period").

3.3. Unless expressly identified as a Monthly Subscription or Yearly Subscription, a fixed-term digital educational product shall not automatically renew upon expiration of its Access Period.

3.4. The Company does not offer a voluntary money-back guarantee or discretionary refund period for fixed-term digital educational products unless expressly stated otherwise in a specific written promotional offer.

3.5. The activation of access to a digital educational product, the viewing of educational content, or the use of question banks, flashcards, or assessments shall not, by itself, be deemed to extinguish any statutory cancellation right that cannot lawfully be waived.

3.6. Where a User is entitled to cancel a transaction under applicable law, the Company shall process the cancellation and any required refund in accordance with the applicable legal requirements.

3.7. Failure to use or complete the purchased educational resources during the Access Period shall not, by itself, entitle the User to an extension, replacement product, or voluntary refund.

4. Self-Learning Courses

4.1. Self-learning courses consist primarily of pre-recorded lectures, educational videos, written materials, summaries, question banks, assessments, flashcards, and other digital educational resources intended for independent study.

4.2. Unless expressly stated otherwise, self-learning courses are purchased through a one-time payment granting access to the relevant Course Material for the Access Period specified before purchase.

4.3. The Company does not provide a voluntary money-back guarantee or discretionary refund period for self-learning courses.

4.4. Where a Student purchases a self-learning course and subsequently decides not to participate in, access, or complete the course, such decision shall not, by itself, entitle the Student to a voluntary refund.

4.5. The Student acknowledges that access to the purchased educational materials may be activated shortly after completion of the purchase and that the relevant materials may become available for immediate use.

4.6. Notwithstanding the foregoing, nothing contained in this Section shall exclude, restrict, or waive any mandatory cancellation, refund, or other consumer right available to the Student under applicable law.

4.7. Where the Company fails to provide the purchased course or where the course materially differs from its agreed description, the Student shall remain entitled to any remedy available under applicable law.

5. Live Courses and Instructor-Led Programs

5.1. The Company may offer live educational courses delivered online, in person, or through a combination of both methods, including examination preparation programs, academic courses, and other instructor-led educational services (the "Live Courses").

5.2. Unless otherwise expressly stated, enrollment in a Live Course shall require payment of a registration deposit equivalent to ten percent (10%) of the total course price (the "Registration Deposit").

5.3. The Registration Deposit shall be credited toward the total course price and shall not constitute an additional fee.

5.4. Unless an alternative payment arrangement has been expressly approved by the Company in writing, the remaining ninety percent (90%) of the course price shall be payable no later than seven (7) calendar days before commencement of the Live Course. Where enrollment occurs fewer than seven (7) calendar days before commencement, the outstanding balance shall be payable upon enrollment unless otherwise agreed.

5.5. Subject to mandatory statutory cancellation rights, the following voluntary cancellation conditions shall apply where the Student requests cancellation for reasons unrelated to a breach by the Company:

(a) Cancellation at least fourteen (14) days before commencement: Where the cancellation request is received at least fourteen (14) calendar days before the scheduled commencement date, the Student shall be entitled to a full refund of all amounts paid, including the Registration Deposit.

(b) Cancellation between seven (7) and thirteen (13) days before commencement: Where the cancellation request is received between seven (7) and thirteen (13) calendar days before the scheduled commencement date, the Company may retain an amount equivalent to ten percent (10%) of the total course price as a registration and administrative charge, provided that such deduction was disclosed before purchase and is permitted under applicable law. Any remaining amount paid shall be refunded.

(c) Cancellation fewer than seven (7) days before commencement: Where the cancellation request is received fewer than seven (7) calendar days before the scheduled commencement date, the Company shall not be obligated to provide a voluntary refund, except where otherwise agreed or required by applicable law.

(d) Cancellation after commencement: Following commencement of the Live Course, voluntary refunds shall not ordinarily be available. Notwithstanding the foregoing, the Company shall honor any applicable statutory cancellation rights and remedies relating to Services not provided or contractual breaches.

5.6. For the avoidance of doubt, the Registration Deposit shall not be considered unconditionally non-refundable. Any retention of the Registration Deposit or deduction of cancellation charges shall be subject to applicable consumer protection laws and any statutory limitations on cancellation fees.

5.7. Failure to attend scheduled Live Course sessions, complete assignments, participate in assessments, or otherwise utilize the purchased Services shall not, by itself, entitle the Student to a voluntary refund.

5.8. Where a Student has been approved to pay the course price in installments, the applicable cancellation conditions shall remain subject to mandatory law. Any remaining payment obligations shall be determined in accordance with the agreed payment arrangement, the Services already provided, and applicable legal requirements.

5.9. Where the Company cancels a Live Course and does not provide an alternative arrangement accepted by the Student, the Company shall refund the amounts attributable to the canceled Service in accordance with applicable law.

5.10. Where the Company materially changes the commencement date, delivery method, or essential components of a Live Course, the affected Student shall remain entitled to any applicable contractual or statutory remedy.

6. Private Tutoring Services

6.1. The Company may offer private tutoring Services through individual sessions or prepaid tutoring packages consisting of a specified number of sessions.

6.2. The applicable tutoring Fees, number of sessions, session duration, scheduling arrangements, and other material conditions shall be communicated to the Student before purchase.

6.3. Tutoring sessions shall be scheduled by mutual arrangement between the Student and the Company or the designated instructor, subject to availability.

6.4. A Student may request to reschedule a tutoring session without an additional charge by providing at least twenty-four (24) hours' advance notice.

6.5. Where a Student cancels or requests to reschedule a tutoring session fewer than twenty-four (24) hours before its scheduled commencement, the Company may charge for the reserved session, provided that such condition was clearly disclosed before purchase and is enforceable under applicable law.

6.6. Where a Student fails to attend a scheduled tutoring session without providing the required notice, the session may be treated as delivered for billing purposes, subject to applicable law and the circumstances of the case.

6.7. Where the Company or the designated instructor cancels a scheduled tutoring session, the Company shall offer a replacement session at no additional charge. Where an appropriate replacement cannot be provided, the Company shall refund the amount attributable to the undelivered session in accordance with applicable law.

6.8. Where tutoring sessions are purchased as part of a prepaid package, the Student may request cancellation of unused sessions. Any applicable refund shall be calculated by deducting the value of sessions already delivered and any other deductions expressly disclosed before purchase and permitted under applicable law.

6.9. Where a tutoring package was purchased at a discounted rate, any adjustment relating to completed sessions shall be calculated according to the package conditions disclosed before purchase and shall not exceed amounts lawfully recoverable by the Company.

6.10. Nothing contained in this Section shall exclude or restrict any mandatory cancellation or refund rights available to the Student under applicable law.

7. Workshops, Masterclasses and Educational Events

7.1. The Company may organize workshops, masterclasses, webinars, and other educational events delivered online or in person (the "Events").

7.2. Registration for an Event shall be subject to the applicable participation Fees, eligibility requirements, event schedule, location, and other conditions disclosed before purchase.

7.3. Subject to mandatory statutory rights, the following voluntary cancellation conditions shall apply:

(a) Cancellation at least fourteen (14) days before the Event: Where cancellation is received at least fourteen (14) calendar days before the scheduled Event, the Student shall receive a full refund of the amounts paid.

(b) Cancellation between seven (7) and thirteen (13) days before the Event: Where cancellation is received between seven (7) and thirteen (13) calendar days before the scheduled Event, the Company may deduct a disclosed administrative charge not exceeding ten percent (10%) of the participation Fee, to the extent legally permitted.

(c) Cancellation fewer than seven (7) days before the Event: Where cancellation is received fewer than seven (7) calendar days before the scheduled Event, the Company shall not be obligated to provide a voluntary refund, except where otherwise agreed or required by applicable law.

7.4. Subject to eligibility requirements, available capacity, and the Company's prior written approval, a registered Student may request to transfer their registration to another eligible participant before commencement of the Event.

7.5. Where the Company cancels an Event and no alternative arrangement is accepted by the Student, the Company shall refund the applicable participation Fee in accordance with applicable law.

7.6. Where an Event is materially postponed or modified, the affected Student shall remain entitled to any applicable contractual or statutory remedy.

8. Failure to Attend or Use Purchased Services

8.1. Unless otherwise expressly agreed or required by applicable law, a Student's failure to attend, access, use, or complete a purchased Service shall not, by itself, constitute grounds for a voluntary refund.

8.2. This provision applies, without limitation, to missed live lectures, unused educational resources, incomplete self-learning courses, unanswered question banks, unused assessments, and other educational activities that the Student elects not to complete.

8.3. The foregoing shall not apply where the failure to access or use the Service results from a material failure by the Company to provide the purchased Service or where the Student is otherwise entitled to a remedy under applicable law.

9. Cancellation or Modification of Services by the Company

9.1. The Company shall make reasonable efforts to provide its Services in accordance with the applicable product descriptions, schedules, and contractual conditions.

9.2. Notwithstanding the foregoing, the Company may cancel, postpone, reschedule, or modify a Course, workshop, masterclass, tutoring session, or other educational Service where reasonably necessary due to operational, academic, technical, or other legitimate circumstances.

9.3. Where a Service is canceled by the Company, the Company may offer the Student an appropriate alternative arrangement, including rescheduling, replacement sessions, or access to an equivalent Service.

9.4. Where an alternative arrangement is not accepted by the Student and the Company cannot provide the purchased Service, the Company shall provide the refund or other remedy required under applicable law.

9.5. Where a material modification substantially affects the essential components of a purchased Service, the affected Student shall remain entitled to any applicable contractual or statutory remedy.

10. Payment Installments and Outstanding Fees

10.1. Certain Services may be purchased through installment arrangements expressly approved by the Company.

10.2. Where an installment arrangement is approved, the Student undertakes to pay the agreed installments in accordance with the applicable payment schedule.

10.3. For the avoidance of doubt, payment in installments shall not, by itself, constitute a recurring subscription or entitle the Student to cancel an otherwise fixed-term purchase merely by discontinuing payments.

10.4. Where a Student lawfully cancels a transaction, any outstanding payment obligations shall be determined according to the applicable contractual conditions and mandatory consumer protection laws.

10.5. Where a payment becomes overdue, the Company may contact the Student to resolve the outstanding amount and may take reasonable measures permitted by applicable law.

10.6. The Company shall not collect amounts that are no longer legally payable following a valid cancellation.

11. Cancellation Requests

11.1. A Student wishing to cancel a purchase, subscription, course enrollment, or other Service may submit a cancellation request through the cancellation functionality available on the Platform, by email to contact@brocali.co, or through any other cancellation method that the Company is required to provide under applicable law.

11.2. A cancellation request should include sufficient information to identify the Student and the relevant transaction, such as the Student's full name, contact details, purchased Service, and order or transaction reference, where available.

11.3. The Company may request additional information reasonably necessary to verify the identity of the Student and identify the relevant transaction, provided that such verification shall not unlawfully delay or obstruct the exercise of statutory cancellation rights.

11.4. The effective date of cancellation shall be determined according to the nature of the transaction, the Student's request, and the requirements of applicable law.

11.5. Where applicable law prescribes a specific period within which an ongoing transaction must be terminated following receipt of a cancellation notice, the Company shall comply with such period.

11.6. The Company shall not impose unnecessary procedural requirements or conditions that unlawfully restrict a Student's ability to exercise mandatory cancellation rights.

12. Refund Processing

12.1. Where a refund is approved or legally required, the Company shall process such refund in accordance with applicable law and the relevant payment method.

12.2. Refunds shall ordinarily be issued through the original payment method used for the transaction, unless another lawful method is agreed upon.

12.3. Where a transaction was paid through installments, any applicable refund or adjustment of outstanding payments shall be calculated according to the amounts paid, the Services provided, the applicable contractual conditions, and mandatory legal requirements.

12.4. The Company may request reasonable information necessary to process a refund, provided that such request shall not unlawfully delay or obstruct the refund.

12.5. Where applicable law prescribes a specific timeframe for issuing a refund, the Company shall comply with such timeframe.

12.6. Where the Company is legally permitted to deduct cancellation charges, administrative fees, or amounts attributable to Services already provided, such deductions shall not exceed the amounts permitted by applicable law.

13. Chargebacks and Payment Disputes

13.1. Students are encouraged to contact the Company regarding suspected billing errors, duplicate payments, unauthorized transactions, or other payment disputes.

13.2. The Company may investigate disputed transactions and request information reasonably necessary to resolve the matter.

13.3. Where a Student initiates a chargeback or payment dispute through a financial institution or payment provider, the Company may provide relevant transaction documentation and other information reasonably necessary to respond to the dispute.

13.4. Nothing contained in this Policy shall restrict any lawful right to initiate a payment dispute, chargeback, or other remedy available under applicable law.

14. Mandatory Consumer Protection Rights

14.1. This Policy shall be interpreted and applied in accordance with the laws of the State of Israel, including the Consumer Protection Law, 5741-1981, and any applicable regulations promulgated thereunder.

14.2. Where a transaction constitutes a distance-selling transaction, ongoing transaction, or another category of transaction subject to mandatory statutory cancellation provisions, the Company shall comply with the applicable requirements.

14.3. The availability and scope of statutory cancellation rights may depend on the nature of the Service, the method of purchase, the date of the transaction, the date on which the Service is scheduled to commence, and other circumstances prescribed by applicable law.

14.4. Where applicable law limits the cancellation charges that may be imposed upon a consumer, the Company shall not impose charges exceeding the legally permitted amount.

14.5. Where a cancellation results from a defect, material nonconformity, failure to provide the Service, or another circumstance for which applicable law prohibits cancellation charges, the Company shall not impose such charges.

14.6. Nothing contained in this Policy shall exclude, restrict, or waive any mandatory right to cancel a transaction, receive a refund, discontinue an ongoing transaction, or obtain another remedy under applicable law.

14.7. Where the laws of another jurisdiction mandatorily apply to a transaction involving a Student located outside Israel, the Company shall comply with such requirements to the extent applicable.

15.1. The Company reserves the right to amend, modify, or update this Policy from time to time, including in order to reflect changes in applicable law, regulatory requirements, business operations, or the Services.

15.2. Any updated version of this Policy shall be published on the Platform and shall indicate the date of its most recent revision.

15.3. Where a material amendment affects existing contractual rights or obligations, the Company shall provide appropriate notice and obtain consent where required by applicable law.

15.4. For the avoidance of doubt, amendments to this Policy shall not retroactively deprive Students of accrued rights or alter completed purchases in a manner prohibited by applicable law.

16.3. This Policy shall be governed by and construed in accordance with the laws of the State of Israel, without prejudice to any mandatory consumer protection rights available under applicable law.

16.4. If any provision of this Policy is determined to be invalid, unlawful, or unenforceable, such provision shall be severed or interpreted to the extent necessary, and the remaining provisions shall continue in full force and effect.

16.5. Failure of the Company to enforce any provision of this Policy shall not constitute a waiver of its right to enforce such provision subsequently.
